Zurich Double Option Agreement

Below you will find the terms and conditions that apply to all purchases made by Zurich Instruments AG, CH-8005 Zurich, Switzerland, also known as sellers. These Terms and Conditions prevail over all other terms, including the Buyer`s Order Terms, and may only be lifted or modified by written agreement between the authorized representatives of the Seller and the Buyer. They also apply to all future relations between the parties, even if they have not been expressly agreed. If other customer conditions are announced with a request or order, these are not recognized. Listings of Zurich Instruments Ltd are valid for 30 days from the date of issue, unless otherwise stated. All offers are free of charge, i.e. the seller reserves the right to accept or reject on the basis of the offer. Orders are legally confirmed by a written confirmation, the content of which is exclusively decisive for the contractual relationship. Telephone or oral agreements and agreements with the seller`s representatives require written confirmation to be legally effective.

All changes to these general terms and conditions as well as any contradictory or supplementary agreements must be made in writing and signed by zurich Instruments Ag. The contract and all disagreements resulting therefrom are governed by Swiss law, with exclusive jurisdiction and jurisdiction before the courts of Zurich, canton of Zurich, Switzerland. Buyer shall bring an action within one (1) year of the emergence of such a dispute with respect to any dispute that Buyer may have under it. The cancellation or modification of orders after their acceptance requires our written consent. If the goods prove unsatisfactory for any reason, Zurich Instruments Ltd must be informed in writing within 7 days of receipt of the goods at the delivery address. Items are shipped under DAP, DDP or EXW conditions (INCOTERMS® 2010). Customers should be informed about the costs and risks associated with each of these conditions. Zurich Instruments Ltd is not obliged to place an order until it is accepted.

Zurich Instruments Ltd is entitled to accept orders in whole or in part. If this material availability or production capacity changes at the time of the order, Zurich Instruments Ltd has the right to change the processing time when accepting the order. .
